1. Acceptance of Terms

By accessing or using the Kestro platform ("Service"), operated by Cooper River LLC, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Kestro provides AI-powered satellite imagery analysis to detect properties needing exterior cleaning, generate before/after cleaning renders, and deliver pre-qualified leads to exterior cleaning contractors. The Service includes a web-based dashboard for managing leads, territories, and account settings.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.

4. Subscription and Payment

• The Service is offered on a monthly subscription basis. Pricing details are available on our pricing page.
• Payment is due at the beginning of each billing cycle. All fees are non-refundable except as expressly stated in these Terms.
• We reserve the right to change our pricing with 30 days written notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
• If payment fails, we may suspend access to the Service until the outstanding balance is resolved.

5. Territory Exclusivity

Active territories assigned to your account are exclusive to you for the duration of your subscription. We will not sell or share leads generated within your active territories with other subscribers. Exclusivity is contingent upon maintaining an active paid subscription.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Resell, redistribute, or share lead data with third parties without written consent
• Attempt to reverse-engineer, decompile, or otherwise extract the source code or algorithms of the Service
• Interfere with or disrupt the Service or servers connected to the Service
• Use automated systems or scripts to access the Service in a manner that could impair performance

7. Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Upon cancellation, your access will continue through the end of the current billing period. After that, your territories will be released and your account will be downgraded. Lead data associated with your account will be retained for 90 days after cancellation, after which it may be deleted.

8. Intellectual Property

All content, features, and functionality of the Service - including text, graphics, logos, software, AI models, and satellite imagery analysis - are owned by Cooper River LLC and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during your subscription.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or completely accurate. AI-generated lead data is based on satellite imagery analysis and may contain inaccuracies. You acknowledge that leads are provided as recommendations and are not guaranteed to result in closed business.

10. Limitation of Liability

To the maximum extent permitted by law, Cooper River LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Service. Our total liability for any claim arising out of these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Cooper River LLC from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service or your violation of these Terms.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to conflict of law principles.
